1. Acceptance of these terms
These Terms & Conditions govern your use of the Sunira website and, where referenced by a proposal, statement of work or agreement, our services. By using the website or engaging Sunira, you agree to these terms. If a signed agreement conflicts with these terms, the signed agreement controls.
2. Our services
Sunira provides creative, communication, application development, AI automation, technology support and related professional services. Website descriptions are general information and do not guarantee availability, scope, timing, price or a specific result.
3. Proposals and project agreements
A project begins only when the parties approve a proposal, statement of work, order form or similar agreement. That document may define deliverables, assumptions, responsibilities, fees, milestones, acceptance criteria and any project-specific terms.
4. Client responsibilities
Clients must provide timely access, decisions, feedback, materials and accurate information needed for delivery. Clients are responsible for reviewing outputs and confirming that supplied instructions, data and materials may lawfully be used. Delays in client inputs may affect schedule and cost.
5. Fees, taxes and payment
Fees, payment milestones, currencies and expenses are set out in the applicable project agreement. Unless stated otherwise, invoices are due within the stated payment period and do include applicable taxes. Late or disputed payments may pause work after reasonable notice.
6. Scope changes and delays
Requests outside the agreed scope may require a written change, revised estimate or updated schedule. Neither party is responsible for delays caused by events reasonably beyond its control, provided it communicates the impact and takes reasonable steps to resume performance.
7. Intellectual property
Each party keeps ownership of materials, tools, methods and intellectual property it owned or developed independently before the project. Ownership or licence terms for final deliverables are defined in the applicable project agreement and may depend on full payment.
8. Client materials and approvals
The client retains responsibility for materials it supplies, including trademarks, content, data and instructions. The client confirms it has the necessary rights and permissions. Approval of a deliverable authorises Sunira to proceed based on that approval.
9. Confidentiality
Each party will use reasonable care to protect non-public information received from the other and will use it only for the relationship. Confidentiality does not apply to information already known without restriction, independently developed, lawfully received from another source or required to be disclosed by law.
10. Third-party products and services
Projects may use third-party platforms, software, hosting, APIs, fonts, stock assets or other services. Their terms, availability, pricing, security and performance are controlled by their providers. Sunira is not responsible for changes or failures outside its reasonable control.
11. Acceptable use
You must not misuse the website or services, attempt unauthorised access, introduce harmful code, interfere with other users, infringe rights, violate law or use deliverables for unlawful, deceptive or harmful activities.
12. Warranties and disclaimers
Sunira will perform agreed services with reasonable skill and care. Except for express commitments in a signed agreement, the website and services are provided on an “as available” basis, and implied warranties are excluded to the extent permitted by law. Business outcomes depend on factors beyond Sunira’s control.
13. Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, including lost profit, revenue, data or opportunity. Any aggregate liability will be limited as stated in the applicable agreement, except where liability cannot lawfully be limited.
14. Suspension and termination
Either party may suspend or terminate an engagement as permitted by the applicable agreement, including for material breach that remains uncured after notice. On termination, the client must pay for completed work, approved expenses and committed third-party costs.
15. Governing law and disputes
These terms are governed by the laws applicable to the jurisdiction in which Sunira is established, unless mandatory law requires otherwise. The parties should first attempt to resolve disputes through good-faith discussion before beginning formal proceedings.
16. Changes to these terms
We may update these terms to reflect changes in our services, practices or legal requirements. Updated terms apply from the published effective date and do not replace project-specific commitments already agreed in writing.
